3. Proposals, Quotes & Payments

Quotes and Estimates

• All quotes and proposals are valid for the period stated therein, or 30 days if no period is specified
• Quotes are estimates based on information provided at the time of quotation and may be subject to revision based on scope changes or additional requirements discovered during project execution
• Rush projects (less than standard turnaround time) may incur additional fees

Payment Terms

• Payment terms are as specified in the Order Documents, typically net 15-30 days from invoice date
• Deposits, milestone payments, and subscription fees are due as stated in the Order Documents
• Late payments may incur interest charges of 1.5% per month or the maximum allowed by law, whichever is less
• Failed or late payments may result in suspension or termination of Services until payment is received
• Except where required by law, fees paid are non-refundable once work has begun or assets have been provisioned

Scope Changes

Any changes to the agreed scope of work must be documented in writing and may result in additional charges and timeline adjustments.

4. Communications

Client Rights

• This license does not include the right to modify, distribute, sublicense, or create derivative works unless explicitly stated in the Order Documents
• You retain ownership of your pre-existing intellectual property and content provided to us

Third-Party Assets

Any third-party assets (fonts, stock photos, plugins, etc.) incorporated into deliverables are subject to their respective license terms. You are responsible for obtaining any necessary licenses for continued use.

7. Third-Party Services

11. Termination

Termination by Us

• Non-payment of fees
• Fraudulent, illegal, or harmful activity
• Failure to provide necessary cooperation or information

Termination by You

You may terminate ongoing Services as specified in your Order Documents. Termination does not relieve you of the obligation to pay all fees incurred prior to termination.

Effect of Termination

Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New Jersey, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
